Article 2 - Shipment
2.1 Latest date of shipment : 12th May 2010
2.2 Partial Shipment : Not Allowed
2.3 Port of delivery : Any Korean port
2.4 Port of Destination : Hai Phong port, Vietnam
2.5 Transhipment : Not Allowed
2.6Documents of goods required:
Within 05 days after shipment, the Seller shall send via Courier Service the Buyer’s address the following documents:
- Full set of Original clean on board Bill of Lading marking “Freight to collect”
- Commercial invoice: 03 originals
- Packing list: 03 originals
- Certificate of Quality/ Quantity issued by the manufacturer: 03 originals
- Certificate of Origin issued by Chamber of ................. :03 originals
- Insurance certificate covering all risks for full invoice value plus 10% (có nên đưa vào đây không ah?)
Article 3 – Payment
Payment shall be made by T/T (Telegraphic transfer) in one time: 100% total contract value shall be paid to the Seller`s account 5 days before shipment date, details information as below:
Name of bank
All banking charges outside the territory of Vietnam shall be covered by the Seller and all charges inside the territory of Vietnam shall be covered by the Buyer.
Article 4 - Warranty & control of goods
Goods are guaranteed for 12 months from the date of shipment (according to the enclosed Warranty Certificate), the Buyer to be free from defects in material under correct storage, use, normal operating conditions and proper application.
Buyer is sole responsible for determining the suitability of goods sold for use of the buyer.
Article 5 – Force Majeure
Force Majeure circumstances must be notified by cable and/or facsimile by each party to another party within seven (7) days after each party acknowledging the
circumstance provied that the transmission line is available and confirmed by writing within one (1) month after the cable and/or facsimile and together with a certificate of force majeure issued by the competent Government Authorities or acceptance or non acceptance. Beyond this time, Force Majeure circumstance shall not be taken into consideration unless otherwise agreed by both parties.
Article 6 – Arbitration
In the course of execution of this contract all disputes not reaching an amicable agreement shall be settled by the The Vietnam International Arbitration Center at the Chamber of Commerce and Industry of Vietnam.
The fee of the arbitration and/or other charges shall be born by the losing party, unless otherwise agreed.
Article 7 – General conditions
By signing of this contract previous correspondence and negotiation connected herewith shall become null and void. This contract comes into effect from signing date, any amendment and/ or additional clause to these conditions shall be valid only if made in writing and confirmed by the two parties.
